Bylaws
Article I: Name & Location
The name of the organization will be the Red Rock Modern Quilters. Located in St. George, Utah and serves those within St. George and the surrounding areas- Southwest Utah, Southeast Nevada, and Northwest Arizona.
Article II: Purpose & Mission Statement
The purpose is to:
- Develop and encourage the art of modern quilting.
- Work with other guilds and groups with a similar purpose- to promote growth of the modern movement and longevity of quilting with future generations.
- Encourage & inspire new and experienced quilters by offering educational opportunities through classes, workshops and sharing of information.
- Support and provide opportunity for “charity” or other works that provide back to the community through the use of modern quilting skills.
Mission statement
Red Rock Modern Quilter’s mission is to support and encourage the growth and development of modern quilting through creativity, education, and inspiration.
Article III: Membership
- Based upon availability, membership is open to any person 18+ who agrees to the purposes of the group, completes the membership form and pays the annual dues.
- Members must adhere to the Code of Conduct and By-Laws to remain in good standing and maintain membership.
- Membership may be revoked in cases of actions that threaten the nonprofit status. Membership may also be revoked for violating policies of the hosting meeting space or by participating in any activity related that is blatantly criminal.
- Membership dues are set by the Board. Prospective members can attend their first meeting for free. After the first meeting, the person has to become a member and pay dues in order to continue attending meetings.
- Membership year is the same as the fiscal year, which runs from January 1 to December 31. Dues cannot be pro-rated.
- Renewals will be due by the end of January for a member to remain active and in good standing.
- No person may be denied membership or be denied participation in any events or activities because of the person's sex, race, religion, national origin, ancestry, creed, pregnancy, marital or parental status, sexual orientation or physical, mental, emotional or learning disability.
- Membership dues are not refundable or transferable upon the resignation or forfeiture of the member.
- Members are allowed entry to general meetings at no additional cost except for special programs as noted. Extra costs may be necessary for speaking engagements, workshops, trunk shows, shop hops, etc. If a program is open to persons outside of the group, members typically pay a reduced fee.
- Members are allowed the opportunity to vote in any elections, participate in all general meeting activities such as Block of the Month, Swaps, Bees, Show and Tell, Sew Days, etc. and full access to social media sites as part of the annual dues.
- Sew day(s) are included for members, free of charge as well as the general meeting. The times and locations of these meetings will be kept current on the website. redrockmqg.com
- Sew days are included with dues for members only. Visitors by invitation only, fee may apply.
- Shop discounts are for members only. Proof of membership is required at time of purchase.
Article IV: Officers, The Board & Standing Committees
- Officer elections are held each December for Vice President/President-elect, Secretary of Communications/Social Media Administrator, and Treasurer. Officers serve a term of one year. Voting to fill Officer positions shall be conducted by secret ballot.
- A simple majority of members (in good standing and in attendance) is needed for a candidate to be elected. If no member is interested in an officer position the current officer continues in the position unless unwilling or unable. If an officer leaves midterm the position replacement will be made by majority vote of the Board Members.
- The Red Rock Modern Quilters Board consists of all officers listed above, plus the founding officers. The Board will convene quarterly. Additional meetings of the Board may be scheduled as warranted. Each Board member has one vote for board decisions. 50% of the Board constitutes a quorum for voting and decision making purposes.
- Standing Committees or Coordinator positions can be appointed by a majority of the Board and the responsibilities are described and designated by such. Committee Chairs or Coordinators are invited to Board Meetings as needed to make proposals and to participate in discussions. These are non-voting positions.
Article V: Amendment
Amending the Bylaws: A member or members may propose an amendment to these Bylaws at any time. The proposed amendment must be electronically proposed and presented to the Board Members 2 weeks prior to a regular meeting. Voting will occur at that meeting with the majority of members attending constituting an affirmative response.
Article VI: Dissolution
In the event Red Rock Modern Quilters is dissolved, the money in financial accounts will be used to purchase quilts for museums and historical societies and/or given to charity.
